Terms of Service

Tasty Tech Ltd. (“Tasty Tech,” “we,” “us,” “our”) provides the website at www.smiledesignerpro.com (the “Site”), the Smile Designer Pro desktop and iPad applications (the “App”), cloud storage and related processing (the “Cloud”), and related support (collectively, the “Services”) subject to these terms of service (these “Terms”). Users of the Services, whether registered or not, are “you,” “your,” or “User.”

Please read these Terms carefully before using the Services. By accessing, using, or browsing the Services you agree to be legally bound by these Terms and the policies incorporated by reference. If you do not agree, you may not use the Services.

1. Who These Terms Apply To

These Terms apply to dental professionals and their practices, authorized staff who have their own User Accounts, and other people who register for or use the Services. If you use the App in a professional capacity, you represent that you are licensed (or working under a licensed practice) as required by applicable law, and that you will obtain all consents needed to submit patient information as described in Section 8 and the Privacy Policy.

You must be at least 18 years old, or the age of majority where you live, to register for a User Account.

The Services are for your own professional or personal use of your User Account. You may not resell, lease, white-label, or provide the Services or their output to anyone else as a service, except to show a Simulation to your own patient in the course of care.

2. Changes

We may change these Terms or any policy of the Services at any time. If we do, we will notify you at the email address on your User Account, if any, and post the revised Terms on the Site with an updated date. Changes take effect when posted unless we say otherwise. Continued use after that is acceptance. If you do not agree, stop using the Services and, if you wish, request deletion of your User Account. The current Terms always show the last-updated date at the bottom.

3. The Services

Smile Designer Pro is software for digital smile design and simulation. Cloud storage and processing are an intrinsic part of the App. Paid Users (including monthly, annual, and legacy Lifetime licenses on current versions of the App) cannot use the software without the Cloud. Free Users may design only sample cases locally and may not submit Patient Data.

We may provide the Services ourselves or through subcontractors. We remain responsible for their compliance with these Terms.

4. Privacy Policy

The Privacy Policy at https://www.smiledesignerpro.com/privacy (the “Privacy Policy”) is incorporated into these Terms. By using the Services you agree to our collection, use, and disclosure of personal information as described there. U.S. covered entities must have a business associate agreement with us before submitting PHI, as described in the Privacy Policy.

5. Registration; Account Security; Devices; No Sharing

If you register for a User Account, you agree to (a) provide accurate, current, and complete registration information (“Registration Data”); (b) keep your password confidential; (c) keep Registration Data accurate; and (d) accept the risk of unauthorized access to your User Account. Tell us promptly if you suspect a breach.

One person per account. A User Account is for one natural person. You may not share login credentials or allow another person to use your User Account. Staff in a practice must each have their own User Account. Account sharing is a material breach and may result in immediate suspension or termination of the User Account and the associated subscription or Lifetime license, without refund.

Three-device limit. You may use the Services on up to three (3) devices under a single User Account. That limit applies to monthly plans, annual plans, and Lifetime licenses. We may block additional devices. Extra devices require our written permission or a separate paid account.

You are responsible for all activity on your User Account.

6. Fees; Lifetime Licenses; Taxes; Cancellation

New paid access is sold as a monthly or annual subscription. Fees are shown on the Site or at checkout and are billed in advance through our payment provider (currently Stripe). You may also be asked to accept that provider’s terms. We are not liable for that provider’s acts or omissions.

Some Users hold a legacy Lifetime license purchased before we moved to subscription billing. We continue to support those licenses under these Terms, including the three-device limit and the prohibition on account sharing. A Lifetime license is not transferable except with our written consent. It does not guarantee perpetual feature parity, offline use, or immunity from termination for breach. Fee changes for subscriptions do not convert a Lifetime license into a paid subscription or impose a new recurring fee on that license.

Subscription fees may change. We will give at least 30 days’ notice. A change does not apply to the billing period in which it is announced. Continued use after the effective date is agreement to the new fees.

Fees exclude taxes. You are responsible for applicable taxes, which we may collect based on your billing address.

If you cancel a monthly or annual subscription, you remain responsible for fees for the rest of the then-current billing period. Prepaid fees are not refundable except as required by law. Terminating a User Account for account sharing or other material breach, including a Lifetime license, does not entitle you to a refund.

7. Email

When you register we may add you to our product newsletter, as described in the Privacy Policy. You may opt out of marketing email in your Profile, via the unsubscribe link, or by writing to privacy@tastytech.ca. You may not opt out of email needed to administer your User Account (billing, security, and service notices).

8. Case Photos; Simulations; Patient Consent

Paid use of the App requires you to capture or upload photographs of a patient’s face and dentition (“Case Photos”). The App uses Case Photos and derived face data to generate or help you generate a digital smile design or photographic simulation (a “Simulation”).

Simulations are not a treatment plan and do not guarantee results. Actual outcomes depend entirely on the work performed by the treating clinician. We do not warrant that any dental work will resemble a Simulation or that a Simulation is an achievable result. If you show a Simulation to a patient, you must give a disclaimer consistent with this paragraph.

Before you submit Case Photos or other patient information, you must obtain all consents required by applicable privacy and health-information law, including for photographs and face geometry, and for transfer and storage outside the patient’s province or country of residence (including Canada and the United States). You are responsible for those consents. We process Case Photos to provide, maintain, and support the Services as described in the Privacy Policy. We do not use them to train third-party foundation models or send them to third-party AI services.

Case Photos, Simulations, and other material you submit are “User Content.” You are responsible for User Content and for keeping your own copies. We are not liable for loss of User Content except as we cannot exclude under applicable law.

9. Ownership

As between you and us, you own the Intellectual Property Rights in your Case Photos and the Simulations generated from them, subject to our rights in the software that produces them. “Intellectual Property Rights” means patents, copyrights, trademarks, trade secrets, and similar rights, registered or not.

We and our licensors own the Site, the App, the Cloud, and all other software, designs, text, graphics, logos, and documentation in the Services (collectively, “Tasty Tech IP”), including the Smile Designer Pro name and logos. All rights not expressly granted are reserved. You may not copy, imitate, or use our trademarks or the look and feel of the Services without our prior written permission.

10. License to You

We grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for which you have a valid subscription or Lifetime license, for your own use, subject to these Terms. You may not (i) resell, rent, or provide the Services to others; (ii) reverse engineer or attempt to extract source code or models, except where the law does not allow that restriction; (iii) remove proprietary notices; (iv) use data mining, scraping, or similar extraction; or (v) use the Services other than for their intended purpose.

11. License You Grant Us

You grant us a worldwide, non-exclusive, royalty-free license to host, copy, process, and display User Content solely as needed to provide, maintain, secure, and support the Services. That license ends when User Content is deleted from our systems as described in the Privacy Policy, except for residual backups for a limited period and copies we must keep by law.

If you send us feedback or ideas (“User Submissions”) other than Case Photos, we may use them without compensation. Do not send us material you wish to keep exclusive.

12. Links to Other Sites

You may create a text hyperlink to the Site for non-commercial purposes if it is not false or defamatory and the linking site is not illegal or offensive. We may revoke that right. You may not use our logos to link without written permission, or frame the Services.

The Site may link to third-party websites and content. We do not control them and are not responsible for them. Your use is at your risk. Their terms and privacy practices apply when you leave the Site.

13. Advertisements and Promotions

We may run third-party advertisements or promotions on the Services. Your dealings with those third parties are solely between you and them. We are not liable for those dealings.

14. Warranty Disclaimer

The Services are provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement, to the fullest extent permitted by law. We do not warrant that the Services or Simulations will be accurate, complete, current, uninterrupted, secure, or error-free, that defects will be corrected, or that the Services are free of harmful components. No advice from us creates a warranty.

15. Availability

Access may be interrupted for maintenance or for reasons beyond our control. We may deny, suspend, or terminate access at any time where we have a reasonable basis to do so under these Terms, including account sharing or exceeding the device limit.

16. Transmission of Information

When you enter payment information on our order forms, it is tokenized and transmitted using TLS. No method of transmission or storage is 100% secure. We cannot guarantee absolute security.

17. Limitation of Liability

To the maximum extent permitted by law, Tasty Tech and its directors, officers, employees, affiliates, agents, and suppliers (the “Released Parties”) are not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or loss of goodwill, arising from your use of or inability to use the Services or from reliance on a Simulation, even if we have been advised of the possibility.

Our aggregate liability arising out of the Services will not exceed the fees you paid for the Services in the three months before the claim (or, if you hold a Lifetime license and have not paid fees in that period, one hundred Canadian dollars).

18. Indemnity

You will defend, indemnify, and hold harmless the Released Parties from claims, damages, and reasonable legal fees arising out of (a) your breach of these Terms; (b) your use of the Services; (c) your failure to obtain consents required to submit Case Photos or other patient information; (d) User Content or User Submissions; or (e) a claim that actual dental results did not match a Simulation.

19. Suspension and Termination by Us

We may, without liability to you, (a) suspend or terminate your license; (b) block access; (c) change or discontinue any part of the Services; or (d) impose limits, including enforcing the three-device limit. We may suspend or terminate immediately for account sharing, credential sharing, exceeding the device limit, or a reasonably suspected compromised account, including Lifetime licenses.

20. Termination by You; Effect

You may stop using the Services and request cancellation of a subscription or deletion of your User Account as described in the Privacy Policy. There is no in-product control to delete an entire account; email privacy@tastytech.ca.

If you cancel a subscription, you remain responsible for the current billing period. If the User Account stays inactive, Cloud data (including Case Photos and Simulations) is deleted twelve (12) months after cancellation, as described in the Privacy Policy. You may request earlier deletion. Deleting the App from a device does not delete Cloud copies. Residual Cloud backups may remain for a limited period after deletion.

Sections 4, 8 through 18, 20, 21, and 22 survive termination.

21. Applicable Law and Venue

These Terms and disputes arising from the Services are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules.

Except for a claim of infringement of Intellectual Property Rights, you and we will first try to mediate any dispute before an independent mediator we appoint, in Toronto, Ontario, with costs shared equally. If mediation fails, the dispute will be resolved by a single arbitrator under the Arbitration Act, 1991 (Ontario), in Toronto. The arbitrator may award costs. The decision is final and not subject to appeal. If arbitration is prohibited by law, the courts in Toronto, Ontario have exclusive jurisdiction, and you consent to those courts.

We may seek injunctive or other equitable relief in any court of competent jurisdiction. Except where prohibited, you waive any right to participate in a class action against us and agree to opt out of any class proceeding.

If you access the Services from outside Ontario, you are responsible for local law.

22. Miscellaneous

Headings are for convenience only. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. We may assign these Terms without your consent. You may not assign them without our written consent; any attempt is void. These Terms and the Privacy Policy are the entire agreement regarding the Services and supersede prior communications on that subject. Notices may be sent to your Registration Data email, posted in your account, or posted on the Site. It is your responsibility to review the Site for notices.

The parties confirm that they wish these Terms, and related documents and notices, to be drawn up in English only.
